TERMS + CONDITIONS
ROOT & GRIND CO
Introduction
These terms and conditions (the "Agreement") are entered into between Root & Grind Consulting and Design ("the Agency") and the client ("the Client") for the provision of business consulting and branding services. By engaging the Agency's services, the Client agrees to be bound by the terms and conditions set forth in this Agreement.

Services
The Agency agrees to provide the Client with business consulting and branding services as outlined in the scope of work agreed upon in writing. The scope of work, deliverables, timelines, and fees will be defined in a separate agreement or proposal.

Fees and Payment

Pricing Changes: All pricing at Root & Grind Consulting and Design is subject to change at any time and becomes effective upon posting. If there has been an agreed pricing between Root & Grind Consulting and Design and the client before changes have been made, it will remain valid until that project is complete.

Payment Requirements: For projects totaling $299 and under, payment is required in full before work will commence. For projects totaling $300 and more, a non-refundable fee of 30% is required before any work will commence.

Payment Deadlines: Full payments or deposits must be paid within 48 hours of receipt of the invoice, or the project is subject to cancellation, and the invoice/quote will be voided. All remaining unpaid balances will be due within 24 hours of your final approval of the design concept. Once the final payment is made, the project will be finalized, and all files will be sent directly to you via email containing a link to your Google Drive or Dropbox folder.

Refunds + Cancellations
Refund Policy: Refund Conditions: At Root & Grind Consulting and Design, our standard policy does not include automatic refunds for services unless there is a prior written agreement between Root & Grind Consulting and Design and the client. It is important to understand that instances of buyer's remorse or opting for an alternative service provider are not considered valid grounds for requesting a refund.

Acknowledgment of Commitment: By choosing to engage our services and making a payment, clients affirm their commitment to the project and the associated costs. We initiate the process of delivering high-quality services and allocate resources upon receipt of payment.

Exceptional Circumstances: In exceptional circumstances, the possibility of a refund may be considered, but only if both the client and Root & Grind Consulting and Design reach a written agreement. Such exceptions will be evaluated on an individual, case-by-case basis.

Pre-agreement Review: We strongly encourage clients to thoroughly review all project details and terms before entering into an agreement. Our refund policy is designed to uphold fairness and transparency in our business interactions.

Project Initiation

After payment has been received by Root & Grind Consulting and Design, the project will commence within the timeline previously communicated to the client. We recommend allocating sufficient time for project completion, considering the potential need for revisions and possible delays during peak order periods.

Partial Work
If partial work has already been delivered to the client, and they choose to cancel or do not respond within two weeks of an email being sent to inquire about moving forward, the partial or full payment that has been rendered will not be refunded. Ownership of all artwork, layout, and development will remain the property of Root & Grind Consulting and Design, and the remaining work will not be transferred to the client.

Ownership Transfer
Full ownership of the project will be transferred to the client upon receipt of full payment, provided that the project has reached its final state.

Project Resumption
In the event that the client opts to cancel their project but wishes to reinstate it at a later date, the following conditions will apply

Project Cancellation: If the client decides to cancel their project, please note that the initial project fee remains non-refundable.

Project Resumption: Should the client choose to revive the project at a later time, they will be required to pay a reactivation fee of $250 in addition to settling any outstanding balance from the project's previous stages. This reactivation fee is assessed to account for administrative and logistical efforts necessary to restart a project seamlessly. It ensures that all resources, materials, and project details are efficiently reconfigured. We have implemented this policy to maintain the smooth flow of our work processes while accommodating the client's decision to recommence the project. We appreciate your cooperation and understanding regarding these terms.

Currency and Price Changes
All prices are listed in United States Dollars (USD) and may change without prior notice. The price valid at the order's validation time will apply. Root & Grind Consulting and Design retains the right to modify or discontinue products or services at any time without notice.

Intellectual Property
Any intellectual property developed by the Agency during the course of providing services, including but not limited to branding materials, creative assets, and strategic plans, shall remain the property of the Agency unless otherwise agreed upon in writing. The Client may use the deliverables for their intended business purposes, subject to any limitations or restrictions outlined in the separate agreement or proposal.

Confidentiality
Both the Agency and the Client agree to keep confidential all information, trade secrets, and proprietary materials disclosed during the course of the engagement.

Termination
Either party may terminate this Agreement with written notice if the other party breaches any material term or condition of this Agreement. Upon termination, the Client shall pay any outstanding fees for services rendered up to the date of termination.

Liability
The Agency's liability for any claims arising from the provision of services shall be limited to the amount of fees paid by the Client to the Agency for those services.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Arizona, and any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Arizona.

Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to the subject matter herein.

Amendments
Any amendments to this Agreement must be made in writing and signed by both parties.

Acceptance
The Client acknowledges that they have read and understood these terms and conditions and agree to be bound by them upon engaging in the Agency's services.
